1 1 These conditions apply on all agreements with LegalFreeHigh.com, established in Groningen, Netherlands, hereafter to be called LegalFreeHigh.com.
2 2 Particular derogatory provisions of LegalFreeHigh.com’ conditions are only binding if these have been corresponded in writing.

Article 2 Offers.
2 1 All offers, budgets and precalculations are without engagement, unless explicitly and differently mentioned.
2 2 Offers are established on basis of the hour tariff of LegalFreeHigh.com with incorporation of the hourly rates, an estimate of the additional costs, the task description, the design- and implementingfases, the planning of the activities and the definition of the destination and the quantities of the designs.

Article 3 Agreement.
3 1 The agreement becomes binding for LegalFreeHigh.com only after LegalFreeHigh.com’ confirmation. If the ordering customer doesn’t object within ten days against this confirmation, this confirmation also becomes binding for him.
3 2 If the ordering customer wants to place the order at more companies at the same time, he must inform LegalFreeHigh.com immediately. The customer must take into account that the usual fee by LegalFreeHigh.com is chargeable.
3 3 Each agreement with LegalFreeHigh.com contains the excluding condition that the ordering customer shows a sufficient creditstate, such to be appraised bij LegalFreeHigh.com. The customer will allow LegalFreeHigh.com, if neccessary, to inquire information concerning the customer. LegalFreeHigh.com will turn for this information to A.F.I. in Leeuwarden, The Netherlands.

Article 4 General conditions or provisions by the ordering customer.
4 1 When an ordering customer imposes certain provisions or conditions on LegalFreeHigh.com that are contrary to these general conditions, then these conditions prevail, unless LegalFreeHigh.com explicitly and in writing has accepted the relevance of the customers conditions and/or provisions.
4 2 Possible relevance of of the customers conditions or provisions is only accepted by LegalFreeHigh.com for the intended transaction. Later transactions will not automatically be settled by means of those conditions or provisions.

Article 5 Agreements.
Agreements or contracts with subordinate members of the staff of LegalFreeHigh.com do not bind the last, if not confirmed by LegalFreeHigh.com.
As subordinate staff are to be considered employees without mandate.

Article 6 Subcontracting work to third parties
The customer authorises LegalFreeHigh.com to carry out the order, or parts of it, by a third party appointed by LegalFreeHigh.com on a desired date determined by LegalFreeHigh.com.

Article 7 Fee.
7 1 The determination of the fee of LegalFreeHigh.com will take place on the basis of the hourly tariff valid within the company, possibly multiplied with additional costs.
7 2 LegalFreeHigh.com can use several hourly tariffs, depending on the urgency of the order, or when extra time, night- or weekendwork by LegalFreeHigh.com is required.
7 3 As additional costs are, amongst others, considered the costs of materials, resources and other costs resulting from the order, not belonging to the normal company costs, butneccessary for the customers order.
7 4 When a customer of LegalFreeHigh.com desires, even outside the duration of the defined activities, not to accept orders from competitive companies for the customer, with the result that the customer claims LegalFreeHigh.com’ exclusivity within its line of business, then LegalFreeHigh.com has the right to claim a financial compensation.
7 5 If LegalFreeHigh.com acts as an authorized representative for the customer while implementing the order, LegalFreeHigh.com can claim compensation. After a written agreement on the calculation, a amount or percentage will be mentionedseperately on LegalFreeHigh.com’ invoice.

Article 8 Licencefee.
8 1 Compensation for a licence concerning multiplying designs is included in the fees for the order, but only for the amounts and destination specified in the order.
8 2 Reprint, reuse or wider use of designs, modified or not, will require a new agreement for licencefees between LegalFreeHigh.com and the customer

Article 9 Approval.
The ultimate print- or revisiontest must be presented by the productioncompany to both LegalFreeHigh.com and customer for approval. If approved the customer, or authorized representative, will sign the print- or revisiontest with initials and date.

Article 10 Confidentiality.
LegalFreeHigh.com and its employees obligate themselves to confidentiality of all information they are entrusted with concerning the order. LegalFreeHigh.com will also ensure the obligation of confidentiality of any third party connected to the order.

Article 11 Declaration of intent.
11 1 LegalFreeHigh.com will execute the order according to its best intentions and quality and will support the customer with advice, if needed or wanted.
11 2 During the activities concerning the order LegalFreeHigh.com and customer will keep themselves available voor oral consultation, as far as it is impotant for the implementation of the order.

Article 12 Copyright.
12 1 The copyright and exclusive rights of drawing(s) and/or model(s) of either provisional or definitive designs, and of design drawings, models, working- and detail drawings, or produced copies according to these drawings or models, belong to LegalFreeHigh.com.
12 2 LegalFreeHigh.com guarantees that the delivered product is designed and produced by, or on behalf of LegalFreeHigh.com. LegalFreeHigh.com is to be considered as a producer in the sense of the “Auteurswet 1912″ according to Dutch law and possesses the copyright of these products.
12 3 LegalFreeHigh.com is authorized to sign and/or mention its name in the colophon of a publication or on the credit title.
12 4 Work pieces remain property of LegalFreeHigh.com unless explicitly and in writing differently agreed upon.
12 5 The customer will not start production before receiving written authorisation of LegalFreeHigh.com. The customer must make possible proofs or prototypes available for approval by LegalFreeHigh.com.
12 6 After LegalFreeHigh.com’ written authorisation the customer obtains the licence for the use of the design as fa r as this concerns the right of publication and multiplication according to the destination and quantity as agreed upon in the order. If nothing was arranged in the order, then the first use and first edition count as agreed destination and quantity. The licence renewal occurs after LegalFreeHigh.com gives its written permission once more.
12 7 The customer and LegalFreeHigh.com are free to use the work pieces and/or multiplication pieces for their own publicity or promotion and with expositions of the work piece, as long aseachothers names are mentioned, unless otherwise is agreed upon. This aforementioned can only happen if the first work pieces have been made public.
12 8 If a third party is guilty of breaching the copyright and/or the exclusive right of a LegalFreeHigh.com work piece, or a obsequious copy of the work, the customer will, on its own costs, take all legal or other measuresneccessary for elimination of this breach or obsequious copy, with the exception of the fact that the work piece itself wasn’t new or original in the first place, or if its distinctive capacity was lacking. The customer also doesn’t have to take measures if the third party doesn’t offer an immediate cause.
12 9 The customer is authorized to exercise power for and on behalf of LegalFreeHigh.com as entitled party of the copyright and the right of the work piece needed to take the measures as described in the aforementioned part of this article.
12 10 If LegalFreeHigh.com requires legal measures anyway in cases as mentioned in the two previous paragraphs of this aticle, then LegalFreeHigh.com itself is resposible for action and costs.
12 11 The copyright of LegalFreeHigh.com is entirely or partially only and exclusively transferable by arrangement of a well-defined work piece. All aforementioned conditions also stay valid after transfer of the copyright (article 25Auteurswet, according to Dutch law).

Article 13 Patents.
13 1 The design can be deposited by LegalFreeHigh.com, on behalf of LegalFreeHigh.com, on expense of the customer, at:
a. “The “Bureau International pour la protection de la Propriete Intellectuelle” of the “Organisation Mondiale de Propriete Intellectuelle (OMPI)” in Geneve; and/or by
b. the “Benelux Bureau for drawings and models” in ’s Gravenhage.
13 2 Depositing as mentioned in the previous paragraphs of this article will happen before the multiplied product or the first edition of it has been made public.
13 3 The declaration meant in article 21, paragraph 3 j.o. article 24 of the Benelux law concerning drawings or models will, if required, bedisgarded by LegalFreeHigh.com at the expense of the customer.
13 4 LegalFreeHigh.com receives from the customer free of charge 10 to 20 pieces of the multiplied product. Concerning valuable pieces or pieces from a small issue LegalFreeHigh.com will receive an apt number.

Artikel 14 Modification of the order.
14 1 Modifications in the provisional or definitive design, of whatever nature, are not allowed unless LegalFreeHigh.com agreed in writing. If modifications are communicated orally or by telephone, the risk of enforcement of these modifications is on account and at risk of the customer. Modifications may lead to additional costs for the customer.
14 2 Modifications applied by the customer, may result in the situation that the deadline agreed upon by LegalFreeHigh.com before the modifications is overrun without responsibility for LegalFreeHigh.com.

Article 15 Termination of the agreement.
15 1 The customer can withdraw a given order, provided that he pays the fee that is the same amount that would have been payed with a complete implementation of the order.
15 2 If the customer can prove that because of particular circumstances, independent of his own will, or actions by LegalFreeHigh.com, that he can’t reasonably expect that the order is carried outuntill the end by LegalFreeHigh.com, then his obligation as mentioned in the previous paragraph of this article will be reduced to the extent of the fees including the hours already worked and materials already used.
15 3 LegalFreeHigh.com can terminate an accepted order, in which case the deserved fee will be cancelled, together with costs already made, with exception of the work already done and if the work was already of any value to the customer.
15 4 LegalFreeHigh.com can also terminate the agreement if it can prove that concerning particular circumstances independent of its free will or because of certain mentioned actions or deeds by the customer , LegalFreeHigh.com cannot reasonably be expected to finish the order. In that case LegalFreeHigh.com can claim the fees based on the hours already worked and compensation of costs already made. The order already given to LegalFreeHigh.com also terminates automatically in case of medical disability, determined by a medical doctor, or death, unless otherwise agreed upon.
15 5 To the successor and/or inheritors of LegalFreeHigh.com costs and fees already made have to be paid, in agreement with the progression of the order.

Article 16 Liability.
16 1 Each obligation from LegalFreeHigh.com to compensation of costs, damage and interests is restricted to the amount of fees agreed upon. The customer protects LegalFreeHigh.com for all judicial and extrajudicial consequences of the customers publication of the designs.
16 2 LegalFreeHigh.com is not liable for the consequences of inadequacies and/ or incompleteness of information which the customer is obligated to provide, or has provided.
16 3 LegalFreeHigh.com is not liable for errors and/ or failures in a design that are not established at approval of the design.
16 4 LegalFreeHigh.com is not liable for unvoluntary damage, loss or destruction of objects, materials, image-, sound-, or textdata in what form whatsoever provided to it by the customer. If the objects and/ or data represent a large value, the customer is obligated to insure these goods himself.
16 5 LegalFreeHigh.com is not liable if the design, or the work piece manufactured from it and the application or use of it, would breach any copyright, exclusive right of drawing or model or patent right by a third party, unknown and not having to be known by LegalFreeHigh.com, before or during the delivery of the design.
16 6 LegalFreeHigh.com will, in priciple, not be liable to compensate company- and/ or consequential damages by the customer depending on the kind of the debt.

Article 17 Force Majeure.
17 1 Extraordinary circumstances which cause modifications in the actual circumstances, provide force majeure , which will relieve LegalFreeHigh.com of its obligation to deliver or execute the order, without any possibility of the customers right to ask for damage compensation.
17 2 LegalFreeHigh.com is in these or similar cases entitled to, entirely according to its own judgement, cancel, suspend or modify the execution of the order,untill the extraordinary circumstances cease to exist and the customer is obligated to pay for possible achievements.
Article 18 Payment.
18 1 Payments, also those in instalments, will have to be made within 30 days after sending the invoice, unless differently agreed upon in writing. Objections concerning the invoice have to be stated to LegalFreeHigh.com in writing within 8 days after receiving the invoice.
18 2 If the customer does not satisfy his paying commitment to LegalFreeHigh.com, LegalFreeHigh.com can charge an interest rate of 1,25% per month, starting from the day the invoice was sent.
18 3 LegalFreeHigh.com is also entitled, outside the principal sum and interest, to claim from the customer all costs, judicial as well as extrajudicial, caused by not satisfying his paying commitment, including costs for lawyers, attorneys,sollicitors, bailiffs and debt collection agencies.
18 4 All judicial and extrajudicial costs wiil be at the expense of the customer. The extrajudicial costs will be accounted as stated in the report Voorwerk II, or if this report is no longer valid, according to the tariffs to be considered reasonable by the “Nederlandse Vereniging voor Rechtspraak”. The extrajudicial costs will also be raised with all costs concerning judicial advice and aid.
18 5 Only the fact that LegalFreeHigh.com ensured itself of assistance from a third party shows the extent and obligation of payment of extrajudicial costs.

Article 19 Disputes.
All disputes resulting from agreements between parties, including the single collection of the debt, will be layed before the Civil Court in the place of business of LegalFreeHigh.com, if LegalFreeHigh.com chooses so, as far as the Civil Court is judicially competent.
